Terms of Use

1. Acceptance of Terms

By accessing the Groundz website (groundz.estate) or the Groundz investor portal (the "Platform"), you agree to be bound by these Terms of Use. If you do not agree, do not use the Platform.

These Terms constitute a legally binding agreement between you and Groundz Property Development Ltd ("Groundz", "we", "us"), a company registered in Cyprus.

2. Eligibility

You must be at least 18 years of age to use the Platform. By registering, you confirm that you are 18 or older and legally capable of entering into a binding contract under the laws of your jurisdiction.

Access to investment features is restricted to qualified/accredited investors as defined under applicable law. Registering as an investor on the Platform does not, by itself, constitute an offer of investment or financial advice.

3. Investment Risk Disclaimer

Investing involves risk. The value of investments can go down as well as up. Past performance is not a reliable indicator of future results. You may lose some or all of your invested capital.

Groundz is a real estate developer and asset manager. The Platform provides information about investment opportunities in real estate projects in Cyprus and other jurisdictions. Nothing on the Platform constitutes:

  • Regulated investment advice under the Cyprus Investment Services and Activities Law (Law 87(I)/2017)
  • An offer to sell or a solicitation of an offer to buy any securities
  • A guarantee of returns, yields, or capital preservation

Before investing, you should seek independent financial and legal advice appropriate to your circumstances.

4. Account Registration

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must notify us immediately at support@groundz.estate if you suspect unauthorised access.

You agree to provide accurate and complete information when registering and to keep your account information up to date.

We reserve the right to suspend or terminate accounts that violate these Terms or that we believe pose a security risk to the Platform or other users.

5. KYC / AML Compliance

Groundz is obligated under Cyprus anti-money laundering legislation (Law 188(I)/2007, as amended) to verify the identity of investors before processing any investment commitments. By participating in investment opportunities on the Platform, you agree to:

  • Provide accurate identity documents (passport/national ID)
  • Submit proof of funds from legitimate, traceable sources
  • Complete any enhanced due diligence we may request

We may decline or terminate any investment relationship where we cannot complete satisfactory due diligence.

6. Intellectual Property

All content on the Platform — including text, images, designs, software, and data — is owned by or licensed to Groundz. You may not reproduce, distribute, or create derivative works without our prior written consent.

You retain ownership of documents and materials you upload; by uploading, you grant Groundz a non-exclusive licence to use them solely for the purpose of providing the Platform services.

7. Prohibited Conduct

You agree not to:

  • Use the Platform for any unlawful purpose or in violation of any applicable law
  • Submit false, misleading, or fraudulent information
  • Attempt to gain unauthorised access to the Platform or its systems
  • Scrape, harvest, or systematically download data from the Platform
  • Introduce viruses, malware, or other harmful code
  • Impersonate any person or entity

8. Limitation of Liability

To the maximum extent permitted by Cyprus and EU law, Groundz's total liability to you for any claims arising from your use of the Platform shall not exceed the amount of fees (if any) paid by you to Groundz in the 12 months preceding the claim.

We are not liable for: indirect, consequential, or special damages; loss of profits or investment returns; or any damages arising from reliance on information provided on the Platform.

9. Governing Law and Disputes

These Terms are governed by the laws of the Republic of Cyprus. Any dispute arising under these Terms shall be subject to the exclusive jurisdiction of the courts of Limassol, Cyprus.

For informal resolution, contact us first at legal@groundz.estate. We will endeavour to resolve disputes within 30 days.

10. Changes to These Terms

We may update these Terms from time to time. Material changes will be notified to registered users at least 14 days before they take effect. Continued use of the Platform after the effective date constitutes acceptance of the revised Terms.
